Please read these terms carefully before using UMVA's services.
1. Introduction & Scope
By accessing or using UMVA ("we," "our," "us"), you agree to be bound by these Terms and Conditions. Our platform provides a comprehensive suite of digital services including web hosting (cPanel shared, reseller, Cloud VPS, Cloud VDS), domain registration (800+ TLDs), software licensing (cPanel, DirectAdmin, Plesk, CloudLinux, LiteSpeed, WHMCS, Imunify360, Softaculous, JetBackup, SitePad, Virtualizor, CXS, and more), digital marketplace (scripts, plugins, themes, apps), WhatsApp Business API, Email API & SMTP relay, UMVA Pay crypto payment gateway, UMVA AI coding assistant, UMVA virtual cards (Visa, Mastercard, Verve), SMM & SEO services (UMVA Lab), live TV streaming (UMVA TV), and IPTV API. These terms apply to all services unless otherwise specified by separate service-specific terms.
2. Account Registration & Eligibility
- You must be at least 18 years old to create an account or use our services.
- You are responsible for maintaining the confidentiality and security of your account credentials, passwords, and API keys.
- Each individual or business entity may maintain one account unless prior authorization has been granted.
- You must provide accurate, current, and complete information during registration and for all service purchases.
- You may not use our services for any illegal, fraudulent, or unauthorized purpose, including but not limited to violations of export controls, sanctions laws, or anti-money laundering regulations.
- We reserve the right to refuse service, suspend accounts, or terminate access for violation of these terms or any applicable law.
3. Web Hosting & Domain Services
3.1 Domain Registration
Domain registrations are subject to ICANN policies, individual registry rules, and our domain registration agreement. You represent that all information provided for domain registration is accurate. We may share your personal data with registrars and registries as required by ICANN. Domain registration fees are non-refundable once the domain has been registered with the registry. Domain renewals are your responsibility; we send reminder emails but ultimate responsibility lies with you. Domain transfers require an EPP authorization code from your current registrar.
3.2 Web Hosting
Hosting services are provided on shared, VPS, or dedicated infrastructure as selected. You agree not to host illegal content, malware, phishing pages, malicious scripts, pirated software, or content that infringes on intellectual property rights. Prohibited activities include sending unsolicited bulk email (spam) from our servers, launching DDoS attacks, cryptocurrency mining without authorization, and any activity that negatively impacts server performance or other customers. We reserve the right to suspend or terminate hosting accounts found engaging in abusive or prohibited activities. Excessive resource usage may result in a request to upgrade your plan or temporary suspension.
3.3 Email Services
Email services are provided for legitimate business and personal communication. Sending spam, phishing emails, unsolicited marketing messages, or emails that violate the CAN-SPAM Act or similar legislation is strictly prohibited. Email accounts found sending spam may be suspended or terminated immediately.
4. Digital Marketplace
Products purchased from our marketplace are subject to specific license types (Personal, Standard, or Extended) as indicated on each product page. You may not redistribute, resell, sublicense, publicly share source code, or use products beyond the rights granted by the purchased license type. All digital products are delivered as-is with the documentation available at the time of purchase. Custom script modifications and deployment services are available as separate services. Product support is provided by the product author unless otherwise specified.
5. Social Media Marketing & SEO (UMVA Lab)
Social Media Services: Our social media marketing services are delivered as described at the time of purchase. We are not affiliated with Instagram, TikTok, YouTube, Facebook, Twitter/X, Telegram, LinkedIn, Snapchat, Spotify, or any other social media platform. We are not responsible for account changes, restrictions, content removals, or account terminations caused by platform policy updates, algorithm changes, or terms of service violations. You represent that you have the right to engage our services for the profiles you submit.
SEO Services: SEO services use industry best practices to improve search visibility. We do not guarantee specific search engine rankings, positions, or traffic volumes due to the proprietary and dynamic nature of search engine algorithms. Results may vary based on competition, industry, and search engine updates.
Reseller Program: Resellers receive discounted pricing on Lab services. Resellers are responsible for their clients' activities. Abuse of the reseller program or violation of these terms by you or your clients may result in reseller account termination.
6. WhatsApp & Email API Services
You agree to use our WhatsApp API, Email API, and associated services in full compliance with all applicable laws including GDPR, CAN-SPAM Act, CTIA guidelines, and local anti-spam legislation. Prohibited activities include: sending unsolicited bulk messages (spam), phishing or fraudulent content, messages violating Meta (WhatsApp) terms of service, messages to individuals who have opted out, and any communication that is harassing, misleading, or illegal. Violation of these terms will result in immediate suspension or termination of API access without refund. We provide webhook-based delivery notifications but do not guarantee delivery of every individual message as delivery depends on recipient infrastructure and platform policies.
7. UMVA Pay Crypto Payment Gateway
UMVA Pay processes cryptocurrency payments. Cryptocurrency transactions are irreversible once confirmed on the blockchain. You are responsible for providing correct wallet addresses for settlement. We are not responsible for funds sent to incorrect addresses provided by you. UMVA Pay supports payments from customers in permitted jurisdictions only. You agree not to use UMVA Pay for transactions involving sanctioned entities, illegal goods or services, or any activity prohibited by applicable law. We may screen transactions for compliance with sanctions and anti-money laundering regulations. UMVA Pay does not require KYC for standard use, but we reserve the right to request information for compliance purposes.
8. Virtual Cards (UMVA Card)
Virtual card services are subject to availability and card network (Visa, Mastercard, Verve) issuer policies. You agree to use virtual cards solely for lawful transactions. Prohibited uses include chargeback fraud, attempting to bypass card controls, using cards for illegal gambling where restricted, money laundering, fraud, and purchasing controlled substances. UMVA Cards are pre-funded — spending is limited to the loaded balance. Chargebacks are not available as cards operate on a pre-funded basis. Disputes regarding specific transactions should be directed to the merchant. We reserve the right to suspend card issuance or freeze card balances if suspicious activity is detected.
9. Software Licensing
Software licenses purchased through UMVA are genuine, original licenses provisioned directly from official vendor licensing servers. Licenses are intended for use on servers you own, lease, or manage. Resale to your clients is permitted for applicable licenses. Each license is subject to the original software vendor's end-user license agreement. You may not reverse-engineer, decompile, modify, or bypass license activation or validation mechanisms. Licenses are bound to server IP addresses and can be transferred at no additional cost. Auto-renewal is optional and can be managed from your dashboard. License misuse, including but not limited to using a single license on unauthorized servers, may result in license suspension by the vendor.
10. UMVA AI Services
UMVA AI provides AI inference services on a pay-as-you-go basis. You agree to use AI services responsibly and in compliance with applicable laws. Prohibited uses include generating illegal content, hate speech, harassment, malicious code for cyberattacks, content that violates others' intellectual property rights, and any use that violates our acceptable use policies. AI prompts and generated content are processed in real-time and not stored or used for model training. You retain all rights to your inputs and outputs. We make no guarantees about the accuracy, completeness, or reliability of AI-generated content. AI services are provided "as-is" and may occasionally produce incorrect or inappropriate outputs.
11. UMVA TV & IPTV API
UMVA TV provides live television channel streaming for personal, non-commercial use unless a commercial IPTV API subscription has been purchased. You agree not to redistribute, re-stream, or publicly broadcast UMVA TV content without explicit written authorization. The IPTV API is available for developers integrating live TV channels into their own applications under a valid subscription. API usage is subject to rate limits as specified in the API documentation. Channel availability may vary and channels may be added, removed, or changed without notice as we continuously update our library.
12. Fees, Payments & Billing
All services are prepaid unless otherwise specified in writing. We accept Visa, Mastercard, American Express, Verve cards, cryptocurrency (USDT, USDC, BTC, ETH, and others), and bank transfers. Prices are denominated in USD and are subject to change with reasonable notice. Subscription services automatically renew at the end of each billing period unless cancelled. You are responsible for keeping your payment information current. Failed payments may result in service suspension. Late payment fees may apply. Refunds and credits are governed by our separate Refund Policy. All fees are exclusive of applicable taxes, which may be added to your invoice.
13. Acceptable Use & Prohibited Activities
In addition to service-specific restrictions above, the following activities are prohibited across all UMVA services:
- Use of our platform for any illegal activity or in violation of any applicable law or regulation.
- Infringement of intellectual property rights, including copyright, trademark, patent, or trade secret.
- Distribution of malware, viruses, ransomware, or other malicious code.
- Phishing, social engineering, or fraud of any kind.
- Interfering with or disrupting the integrity or performance of our services or infrastructure.
- Attempting to gain unauthorized access to our systems or other users' accounts.
- Using our services to send unsolicited bulk communications (spam).
- Engaging in child exploitation, human trafficking, or any activity involving illegal content.
14. Limitation of Liability
To the maximum extent permitted by applicable law, UMVA, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use or inability to use our services, including but not limited to data loss, business interruption, loss of profits, loss of revenue, or cost of substitute services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising from or related to our services is limited to the amount paid by you for the specific service giving rise to the claim during the six months preceding the event giving rise to the liability. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless UMVA and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our services, your violation of these terms, your violation of any third-party rights, or your violation of any applicable law.
16. Termination & Suspension
We reserve the right to suspend or terminate your account or access to specific services at any time for violation of these terms, illegal activity, fraud, non-payment, or conduct that we determine in our reasonable discretion may harm other users, third parties, or our platform. You may cancel your account at any time through your dashboard or by contacting support. Upon termination, you are responsible for backing up your data before service discontinuation. Domain names registered through us remain under your ownership and can be transferred to another registrar after termination.
17. Intellectual Property
The UMVA name, logo, platform design, and all related trademarks and service marks are our exclusive property. Our platform and services, including software, documentation, and user interfaces, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our platform or services without our express written consent.
18. Changes to Terms
We may update these terms from time to time to reflect changes in our services, business practices, or legal requirements. Continued use of our services after changes take effect constitutes your acceptance of the revised terms. Material changes will be notified via email to the address associated with your account. If you do not agree with the changes, you may close your account before the changes take effect.
19. Governing Law & Dispute Resolution
These terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California. Each party shall bear its own costs and attorneys' fees unless otherwise awarded by the arbitrator. You agree to bring any claims in your individual capacity only — no class actions, consolidated proceedings, or representative actions are permitted.
